End User Agreement

1. GENERAL TERMS OF USE

Welcome to Telescope Health, a technology platform that connects patients like you to medical providers in real-time via live streaming video, telephone, and/or secure email, and provides other administrative services and information (the "Service"). The Service is operated by Telescope Health and made available as a service to its customers ("Customer"), whether the Customer is a hospital, self-insured employer, or other entity that is making the Service available to you, the patient. To use the Service, you must agree to be bound by all of the terms of this user agreement ("Agreement"). By certifying that you have read and accepted this Agreement, you are indicating that you agree to be bound by all the terms in this Agreement. Please print and keep a copy of this Agreement for yourself. Telescope Health may, from time to time, change the terms of this Agreement. When the terms are changed, you will be notified the next time you access the Service and will have an opportunity to agree to such changed terms or terminate your use of the Service. The most current version of this Agreement can be accessed at any time by selecting the Terms of Use link at the bottom of any page in the Service.

 

IMPORTANT INFORMATION ABOUT YOUR USE OF THE SERVICE:

Telescope Health does not provide medical care. All medical services provided through the Service are exclusively rendered or arranged by Customers. You hereby acknowledge that no medical services rendered via the Telescope Health site are provided by Telescope Health. Telescope Health is not an insurance product, a prescription fulfillment warehouse, or a medical provider. The Service may not be considered a covered benefit under any health insurance policy you may have. You are solely responsible for any cost incurred through the Service.

 

2. PRIVACY POLICY

PRIVACY OF YOUR PERSONAL INFORMATION

To participate in the Service, you must provide Customer and Telescope Health with certain personal and medical information about yourself or about a minor child of whom you are a parent or legal guardian ("Personal Information"). Telescope Health will not make your Personal Information available to anyone unless you direct us to do so. While it is fully within your rights not to share Personal Information with Customer and Telescope Health, you may not be able to use some features of the Service without doing so.

SECURITY

Your Personal Information will be stored using commercially reasonable practices and procedures. Personal Information stored in computer systems is protected from unauthorized access through a variety of commercially standard encryption and security technologies and procedures. Standard physical and electronic procedural safeguards are also maintained to limit access to your Personal Information to Telescope Health and Customer employees (or people working on behalf of Telescope Health and/or Customer subject to confidentiality agreements) who, through the course of standard business activities, need to access your Personal Information.

The Service will be made accessible to you by Customer. Access to the Service is enabled only by login usernames and passwords. You should keep your login username and password strictly confidential. In no event should you share your login username or password with any third party or allow another person to access the Service using your username login and password. Please notify Telescope Health if you have any reason to believe that your login username or password has been lost, misused, or compromised in any way. You are fully and solely responsible for any and all use of the Service using your login username and password. Customer and Telescope Health reserve the right to revoke or deactivate your login username and password at any time.

 

3. LEGAL NOTICES

ACCEPTABLE USE

You shall not access or use the Service in an unlawful way or for an unlawful or illegitimate purpose. You shall not post or transmit: (a) a message or information under a false name or with intent to deceive; (b) information that is unlawful, libelous, defamatory, obscene, fraudulent, predatory of minors, harassing, threatening, or hateful to any person; or (c) information that infringes or violates any intellectual property, privacy, or publicity right of another. You shall not attempt to disrupt the operation of the Service through use of any method such as a virus, Trojan horse, worm, time bomb, denial of service attack, flooding, or spamming. You shall not use the Service in any manner that could damage, disable, or impair Telescope Health’s services or networks. You shall not attempt to gain unauthorized access to any user account, computer system, or network through hacking, password mining, phishing, or any other means. You shall not use any robot, scraper, or other means to access the Service.

OPERATION AND RECORD RETENTION

Telescope Health reserves complete and sole discretion with respect to the operation of the Service. Telescope Health may, among other things, withdraw, suspend, or discontinue any functionality or feature of the Service. Telescope Health reserves the right to maintain, delete, or destroy all communications and materials posted or uploaded to the Service.

Please note that when you click on any of these links, you are entering another website for which neither Customer nor Telescope Health has responsibility or control. The inclusion of any link does not imply affiliation, endorsement, or adoption by Telescope Health of the linked site or any medical or other information contained therein. INTELLECTUAL PROPERTY

All of the content available on or through the Service ("Content") is the property of Telescope Health or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property law. Telescope Health gives you permission to display, download, store, and print the Content only for your personal, non-commercial use. You shall not reproduce, retransmit, distribute, disseminate, sell, publish, broadcast, or circulate any Content to anyone. Any copy made of information obtained through the Service must include any applicable intellectual property notice, including copyright and trademark. All software and accompanying documentation made available for download from the Service is the copyrighted work of Telescope Health or its licensors.

All Telescope Health trade and service names, including, but not limited to "Telescope Health," are trademarks of Telescope Health. All other brands and names are the property of their respective owners. Nothing in the Service should be construed as granting any license or right to use any trademark displayed on this site without the express written permission of Telescope Health or such other third-party that may own the trademark.

Subject to this Agreement, Telescope Health hereby makes available to you the Service to the extent, and only to the extent, necessary to access and use the Service in accordance with this Agreement.

The use permitted herein does not permit you, and you shall not: (a) modify, translate, reverse engineer, disassemble, decompile, or create a derivative work of any part of the Service or allow a third party, whether directly or indirectly (including, but not limited to the direct or indirect use of wizards, agents, bots, or other utilities), to modify, translate, reverse engineer, disassemble, decompile, or create a derivative work of any part of the Service; or (b) transfer, distribute, sell, lease, rent, disclose, or provide access to the Service to any third party or use the Service to provide a service bureau, time sharing, or other service to a third party.

Telescope Health retains the ownership rights and may choose to prepare and use aggregate, de-identified meta-data that occurs on the platform, as it so desires.

 

4. GENERAL DISCLAIMERS

ACCESS TO THE SERVICE AND THE CONTENT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, TELESCOPE HEALTH DISCLAIMS ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, TELESCOPE HEALTH NEITHER REPRESENTS NOR WARRANTS THAT ACCESS TO THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT DEFECTS, IF ANY, WILL BE CORRECTED; NOR DOES TELESCOPE HEALTH MAKE ANY REPRESENTATION ABOUT THE ACCURACY, RELIABILITY, CURRENCY, QUALITY, COMPLETENESS, USEFULNESS, PERFORMANCE, SECURITY, LEGALITY, OR SUITABILITY OF THE SERVICE OR ANY OF THE CONTENT. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

YOU SHALL BE SOLELY AND FULLY RESPONSIBLE FOR ANY DAMAGE TO ANY COMPUTER SYSTEM, ANY LOSS OF DATA, AND ANY IMPROPER USE OR IMPROPER DISCLOSURE OF INFORMATION CAUSED BY YOU OR ANY PERSON USING YOUR LOGIN CODE OR PASSWORD. TELESCOPE HEALTH CANNOT AND DOES NOT ASSUME ANY RESPONSIBILITY FOR ANY LOSS, DAMAGE, OR LIABILITY ARISING FROM THE FAILURE OF ANY TELECOMMUNICATIONS INFRASTRUCTURE OR THE INTERNET OR FOR YOUR MISUSE OF ANY OF ADVICE, IDEA, INFORMATION, INSTRUCTION, OR GUIDELINE ACCESSED THROUGH THE SERVICE.

 

5. LIMITATION OF LIABILITY

IN THE EVENT OF ANY PROBLEM WITH THE SERVICE OR ANY OF ITS CONTENT, YOU AGREE THAT YOUR SOLE REMEDY IS TO CEASE USING THE SERVICE. UNDER NO CIRCUMSTANCES SHALL TELESCOPE HEALTH OR ANY TELESCOPE HEALTH LICENSOR, LICENSEE, OR SUPPLIER BE LIABLE IN ANY WAY FOR YOUR USE OF THE SERVICE OR ANY OF ITS CONTENT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, ANY INFRINGEMENT BY ANY CONTENT OF THE INTELLECTUAL PROPERTY RIGHTS OR OTHER RIGHTS OF THIRD PARTIES, OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICE OR ANY OF THE CONTENT. UNDER NO CIRCUMSTANCES SHALL TELESCOPE HEALTH, ITS LICENSORS, LICENSEES, OR SUPPLIERS BE LIABLE FOR ANY PUNITIVE, EXEMPLARY, CONSEQUENTIAL, INCIDENTAL, OR INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA, REVENUE, PROFITS, OR OTHER ECONOMIC ADVANTAGE), HOWEVER ARISING, EVEN IF IT OR THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

 

6. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Telescope Health, its licensors, licensees, and suppliers, from and against any claims, actions, or demands, liabilities, and settlements, including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from your violation of this Agreement.

 

7. JURISDICTION

You expressly agree that exclusive jurisdiction for any dispute with Telescope Health, or in any way relating to your use of the Service, resides in the courts of the State of Florida, and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the State of Florida, located in Duval County, in connection with any such dispute, including any claim involving Telescope Health or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers, and content providers. This Agreement is governed by the internal substantive laws of the State of Florida, without respect to its conflict of laws principles.

 

8. COMPLETE AGREEMENT

This Agreement constitutes the entire agreement between you and Telescope Health with respect to the use of the Service and Content. Your use of the Service is also subject to the Telescope Health Privacy Policy and Telescope Health's Notice of Privacy Practices, which are hereby incorporated into this Agreement. Any cause of action you may have with respect to your use of the Service or that is the subject of this Agreement must be commenced within one (1) year after the claim or cause of action arises.

1. TÉRMINOS GENERALES DE USO

SEGURIDAD
Su Información Personal se almacenará utilizando prácticas y procedimientos comercialmente razonables. 3. AVISOS LEGALES

USO ACEPTABLE
No deberá acceder ni utilizar el Servicio de manera ilegal o con un propósito ilegítimo. No deberá publicar ni transmitir: (a) un mensaje o información bajo un nombre falso o con la intención de engañar; (b) información que sea ilegal, difamatoria, obscena, fraudulenta, depredadora de menores, hostigadora, amenazante o incitante al odio contra cualquier persona; o (c) información que infrinja o viole cualquier derecho de propiedad intelectual, privacidad o publicidad de otro. No deberá intentar interrumpir el funcionamiento del Servicio mediante el uso de cualquier método como virus, caballo de Troya, gusano, bomba de tiempo, ataque de denegación de servicio, inundación o spam. OPERACIÓN Y RETENCIÓN DE REGISTROS
Telescope Health se reserva la total discreción con respecto al funcionamiento del Servicio. Telescope Health puede, entre otras cosas, retirar, suspender o descontinuar cualquier funcionalidad o característica del Servicio. Telescope Health se reserva el derecho de mantener, eliminar o destruir todas las comunicaciones y materiales publicados o subidos al Servicio.

4. DESCARGOS DE RESPONSABILIDAD GENERALES
EL ACCESO AL SERVICIO Y EL CONTENIDO SE PROPORCIONA "TAL CUAL" Y "SEGÚN DISPONIBILIDAD" SIN NINGUNA GARANTÍA DE NINGÚN TIPO, EXPRESA O IMPLÍCITA. EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY APLICABLE, TELESCOPE HEALTH RENUNCIA A TODAS LAS GARANTÍAS DE CUALQUIER TIPO, YA SEAN EXPRESAS O IMPLÍCITAS, INCLUIDAS, ENTRE OTRAS, CUALQUIER GARANTÍA IMPLÍCITA DE TÍTULO, COMERCIABILIDAD, APTITUD PARA UN PROPÓSITO PARTICULAR O NO INFRACCIÓN. TELESCOPE HEALTH NO PUEDE GARANTIZAR Y NO GARANTIZA LA EXACTITUD, INTEGRIDAD, ACTUALIDAD O NO INFRACCIÓN DE LA INFORMACIÓN DISPONIBLE A TRAVÉS DEL SERVICIO, NI GARANTIZA QUE EL SERVICIO ESTARÁ LIBRE DE ERRORES O INTERRUPCIONES.

 

5. LIMITACIÓN DE RESPONSABILIDAD
   EN CASO DE CUALQUIER PROBLEMA CON EL SERVICIO O CUALQUIERA DE SUS CONTENIDOS, USTED ACEPTA QUE SU ÚNICO RECURSO ES DEJAR DE UTILIZAR EL SERVICIO. BAJO NINGUNA CIRCUNSTANCIA TELESCOPE HEALTH O CUALQUIER LICENCIANTE, LICENCIATARIO O PROVEEDOR DE TELESCOPE HEALTH SERÁ RESPONSABLE DE NINGUNA MANERA POR SU USO DEL SERVICIO O CUALQUIERA DE SUS CONTENIDOS, INCLUYENDO, PERO NO LIMITADO A, CUALQUIER ERROR U OMISIÓN EN CUALQUIER CONTENIDO, CUALQUIER INFRACCIÓN POR PARTE DE CUALQUIER CONTENIDO DE LOS DERECHOS DE PROPIEDAD INTELECTUAL U OTROS DERECHOS DE TERCEROS, O POR CUALQUIER PÉRDIDA O DAÑO DE CUALQUIER TIPO INCURRIDO COMO RESULTADO DEL USO DEL SERVICIO O DE CUALQUIERA DE SUS CONTENIDOS. BAJO NINGUNA CIRCUNSTANCIA TELESCOPE HEALTH, SUS LICENCIANTES, LICENCIATARIOS O PROVEEDORES SERÁN RESPONSABLES DE NINGÚN DAÑO PUNITIVO, EJEMPLAR, CONSECUENTE, INCIDENTAL O INDIRECTO (INCLUYENDO, PERO NO LIMITADO A, LA PÉRDIDA DE DATOS, INGRESOS, BENEFICIOS U OTRA VENTAJA ECONÓMICA), CUALQUIERA QUE SEA SU CAUSA, AUNQUE SE LES HAYA ADVERTIDO DE LA POSIBILIDAD DE DICHO DAÑO.

 

5. INDEMNIZACIÓN
   Usted acepta defender, indemnizar y eximir de responsabilidad a Telescope Health, sus licenciantes, licenciatarios y proveedores, de y contra cualquier reclamo, acción o demanda, responsabilidades y acuerdos, incluidos, entre otros, los honorarios legales y contables razonables, que resulten o se alegue que resulten de su violación de este Acuerdo.

 

5. JURISDICCIÓN
   Usted acepta expresamente que la jurisdicción exclusiva para cualquier disputa con Telescope Health, o de cualquier manera relacionada con su uso del Servicio, reside en los tribunales del Estado de Florida, y además acepta y consiente expresamente el ejercicio de la jurisdicción personal en los tribunales del Estado de Florida, ubicados en el condado de Duval, en relación con cualquier disputa de este tipo, incluidas cualquier reclamación que involucre a Telescope Health o sus afiliados, subsidiarias, empleados, contratistas, funcionarios, directores, proveedores de telecomunicaciones y proveedores de contenido. Este Acuerdo se rige por las leyes sustantivas internas del Estado de Florida, sin respeto a sus principios de conflicto de leyes.

 

5. ACUERDO COMPLETO
   Este Acuerdo constituye el acuerdo completo entre usted y Telescope Health con respecto al uso del Servicio y el Contenido. Su uso del Servicio también está sujeto a la Política de Privacidad de Telescope Health y al Aviso de Prácticas de Privacidad de Telescope Health, que se incorporan a este Acuerdo. Cualquier causa de acción que pueda tener con respecto a su uso del Servicio o que sea objeto de este Acuerdo debe comenzar dentro de un (1) año después de que surja el reclamo o la causa de la acción.
